Livecaller SDK End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee” or “You”) and Livecaller, a company registered in Georgia (“Licensor”), for the use of the Livecaller Software Development Kit (“SDK”). By downloading, installing, or using the SDK, You agree to be bound by the terms of this EULA.

1.⁠ ⁠Grant of License
Livecaller grants You a non-exclusive, non-transferable, revocable, royalty-free license to use the SDK solely for the purpose of developing and distributing applications that integrate with Livecaller services, as provided by Livecaller. This license is limited to use within applications that directly interface with Livecaller services and does not extend to any other purpose. 2. Restrictions

    You shall not:
    a. Modify, adapt, translate, or create derivative works of the SDK;
    b. Distribute, share, or make the SDK available to any third party, whether in its original or modified form;
    c. Sublicense, lease, rent, or otherwise transfer rights to the SDK;
    d. Sell, resell, or commercially exploit the SDK or any derivative works;
    e. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the SDK, except where expressly permitted by Georgian law.

3. Ownership
   The SDK and all associated intellectual property rights, including copyrights, trademarks, and trade secrets, are owned by Livecaller. This EULA does not grant You any ownership rights in the SDK.
4. Termination
   This EULA is effective until terminated. Livecaller may terminate this EULA immediately if You breach any of its terms. Upon termination, You must cease all use of the SDK and destroy all copies in Your possession or control.

5. No Warranty
   The SDK is provided “as is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Livecaller is not liable for any direct, indirect, incidental, or consequential damages arising from Your use of the SDK.

6. Compliance with Laws
   You agree to use the SDK in compliance with all applicable laws of Georgia, including the Law of Georgia on Copyright and Neighboring Rights and the Law on Personal Data Protection. You are responsible for ensuring compliance with any relevant international laws if the SDK is used outside Georgia.

7. Governing Law and Dispute Resolution
   This EULA is governed by the laws of Georgia. Any disputes arising under this EULA shall be resolved in the courts of Tbilisi, Georgia.
