Dencity.AI Private License

Version 1.0

1. Grant of License

Subject to the terms and conditions of this License, Dencity.AI (the "Licensor") hereby grants you (the "Licensee") a non-exclusive, non-transferable, revocable license to use, modify, and reproduce the software code and associated documentation (the "Software") solely for internal, non-commercial purposes within the organization known as Dencity.AI.

2. Restrictions

a. The Software and its modifications shall not be distributed, sublicensed, or otherwise made available to third parties.

b. The Licensee shall not use the Software for any purpose outside the scope of internal use within Dencity.AI.

c. Reverse engineering, decompiling, or disassembling the Software is strictly prohibited.

3. Proprietary Rights

The Licensor retains all right, title, and interest in and to the Software. This License does not grant the Licensee any intellectual property rights in the Software, except for the limited rights expressly granted herein.

4. Warranty and Liability

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE.

5. Termination

The Licensor reserves the right to terminate this License at any time if the Licensee violates any of its terms. Upon termination, the Licensee must cease all use of the Software.

6. Governing Law

This License shall be governed by and construed in accordance with the laws of France.
