ARES DEFENCE LABS — ARESEDGE COMMERCIAL SDK LICENCE AGREEMENT

1. PARTIES, ACCEPTANCE AND SCOPE
This Agreement governs the AresEdge SDK, its compiled libraries, public wrappers,
models, documentation, examples and updates (Software). "Licensor" is the legal
entity trading as Ares Defence Labs identified on the applicable purchase order,
invoice or portal checkout (Order). "Licensee" is the person or entity accepting
these terms. By installing, copying or using the Software, Licensee accepts this
Agreement. A person accepting for an entity represents that they can bind it.
If Licensee does not accept, it must not use or distribute the Software.
An Order accepted by Licensor may specify products, fees, term, permitted
developers and additional rights. A conflicting
express provision of that Order controls; otherwise this Agreement applies.

2. COMMERCIAL GRANT
Subject to payment, the Order and compliance with this Agreement, Licensor grants
Licensee a limited, non-exclusive, non-transferable licence during the authorised
term to install and use the Software for developing, testing and maintaining
an unlimited number of Licensee's applications across every platform supported
by the Software, using the same customer licence key, and to distribute the
Software solely in compiled form as an integral part of those applications to
their end users. No separate per-app or per-platform licence purchase is required.
End users may run the incorporated Software only as part of the authorised app
and only while the applicable entitlement permits. No independent SDK licence
or sublicensing right is granted to end users. Contractors may use the Software
solely for Licensee's authorised work and under equivalent confidentiality and
use restrictions; Licensee remains responsible for their compliance. Affiliates
and additional SDK products require express coverage in the Order.
No ownership, exclusivity or source-code delivery is granted.

3. EVALUATION
Without a paid entitlement, the Software may be used solely for internal technical
evaluation under its trial restrictions, including the shared 60-second process
trial. Restarting an evaluation application does not authorise production use.
Trial access is not a perpetual, free, production or redistribution licence.
Licensor may offer different evaluation rights in writing. Trial notices and
technical limits must not be removed or bypassed. Evaluation ends when withdrawn
by Licensor, superseded by an Order, or terminated under this Agreement.

4. TERM, KEYS AND RENEWAL
Unless an Order states otherwise, paid customer entitlements last twelve months
from their signed term start and end on their signed expiry date. Offline
verification does not extend the term. Customer licence keys cover the purchased
SDK product across unlimited Licensee applications on all platforms supported by that SDK. They must not be
shared outside authorised development and distribution of those applications. Licensor alone issues keys.
Renewal, automatic billing, amounts, taxes, cancellation and refunds are governed
by the accepted Order and checkout terms, subject to mandatory law. Where renewal
is arranged approximately thirty days before expiry, Licensee must incorporate
the replacement key in every application using the Software and distribute
updated applications to customers on every supported platform before the old key
expires, allowing time for store review, rollout and installation. Renewal does
not replace keys in installed apps automatically. Existing app installations
containing an expired key enter trial, display the trial notice and lose protected
functionality after the live-session trial allowance. There is no implied grace
period after expiry and no guarantee that an already distributed app can operate perpetually.
Non-expiring owner entitlements, if expressly issued, are limited to their signed
scope and do not grant general customer, resale or transfer rights.

5. RESTRICTIONS
Except as expressly permitted by this Agreement or non-excludable law, Licensee
must not: (a) resell, sublicense, rent, lend or distribute the Software as an SDK,
standalone library, development service or competing reusable component;
(b) distribute implementation source, SDK binaries or models separately from an
authorised compiled application; (c) extract or use models outside the authorised
SDK integration, or use them to train another model; (d) reverse engineer,
decompile, disassemble or attempt to derive proprietary source or model internals;
(e) forge, alter, share or circumvent keys, signatures, trial controls, identity
checks or other licensing mechanisms; (f) remove proprietary or third-party
notices; (g) use the Software unlawfully or infringe third-party rights; or
(h) represent that Licensor endorses Licensee's application without permission.
These restrictions do not prohibit activities that applicable law expressly
permits despite contractual restrictions. Public APIs may be used as documented.

6. DOCUMENTATION, WRAPPERS AND EXAMPLES
Licensee may read the publicly available documentation and adapt the supplied
example and public wrapper integration code for evaluation or for its authorised
applications. This limited permission does not open-source the SDK, waive fees,
authorise redistribution as an SDK, or grant rights to proprietary implementation
or models. Licensee may retain copies needed to maintain a lawful integration,
subject to the term and other restrictions. Public availability on GitHub or a
package registry does not create an MIT, Apache, BSD or other open-source grant.

7. OWNERSHIP, CONFIDENTIALITY AND THIRD PARTIES
Licensor and its suppliers retain all intellectual property rights in the Software.
Licensee retains ownership of its applications and user-created documents.
Non-public implementation, keys and technical materials must be protected with
reasonable care and disclosed only to authorised personnel who need them.
This obligation excludes information independently developed, lawfully received
without restriction, public without breach, or required to be disclosed by law.
Third-party components are governed by their own licences and notices, which
control their respective components. Nothing here restricts rights granted by
those licences or grants rights Licensor does not own. Applicable third-party
notices must accompany distributions as required. Licensor trademarks are not
licensed except to truthfully identify the Software in an integration.

8. SUPPORT, UPDATES AND APPLICATION RESPONSIBILITY
Support, updates, service levels and maintenance are supplied only as expressly
agreed in the Order. No particular feature, compatibility, response time or future
release is promised. Licensee is responsible for application testing, privacy,
permissions, backups, distribution, secure handling of documents and keys, and
compliance with store policies and law. The Software is not represented as
unhackable or suitable for safety-critical use. On-device code and models can
be inspected or extracted; licence verification is not a confidentiality guarantee.

9. WARRANTY AND MANDATORY RIGHTS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND
"AS AVAILABLE", WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED/ERROR-FREE OPERATION.
Nothing excludes, restricts or modifies rights, guarantees, remedies or liability
that cannot lawfully be excluded, including applicable consumer guarantees.
Any expressly agreed warranty in an Order applies according to its terms.

10. LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE UNDER THIS
AGREEMENT FOR INDIRECT OR CONSEQUENTIAL LOSS, LOST PROFITS, REVENUE, BUSINESS
OPPORTUNITIES OR DATA. LICENSOR'S AGGREGATE LIABILITY ARISING FROM THE SOFTWARE
OR THIS AGREEMENT WILL NOT EXCEED FEES PAID BY LICENSEE FOR THE AFFECTED SDK IN
THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations
do not limit liability that cannot lawfully be limited, Licensee's payment
obligations, or liability for misuse of Licensor's intellectual property or breach
of the confidentiality/use restrictions. Mandatory remedies remain available.

11. SUSPENSION AND TERMINATION
The commercial grant expires at the end of the purchased term unless renewed.
Either party may terminate for a material breach not cured within thirty days
of written notice. Licensor may terminate immediately for deliberate licence
circumvention or unauthorised SDK/key/model redistribution. On expiry or
termination Licensee must stop new distribution and protected production use,
remove the Software from future releases, and delete unauthorised copies, subject
to any express surviving rights in an Order and legally required archival copies.
There is no obligation or representation that offline installations can be
remotely deleted. Ownership, accrued payment obligations, confidentiality,
restrictions, disclaimers, liability and dispute provisions survive as applicable.

12. GENERAL
The governing law and dispute forum are those specified in the Order; where none
is specified, they are the law and competent courts of Licensor's principal place
of business, subject to mandatory rights. The parties should first attempt good
faith resolution through the contact details on the Order or official portal.
Licensee may not assign this Agreement without Licensor's written consent except
where mandatory law requires otherwise. Invalid provisions are limited only to
the extent necessary; remaining provisions continue. A failure to enforce is not
a waiver. This Agreement and accepted Order constitute the entire agreement
about the Software, superseding conflicting informal statements. Changes to a
purchased grant require agreement; later posted terms do not retroactively alter
that grant without a valid acceptance mechanism. No third-party beneficiary
rights are created. Rights not expressly granted are reserved.
