This software, known as tuul_ai (the “Software”), including all source code, binary code, documentation, configuration files, APIs, SDKs, examples, and related materials, is the exclusive proprietary property of Digitwhale.

PURPOSE AND SCOPE

The Software is provided solely to enable authorized customers and partners to integrate their applications with Digitwhale’s proprietary Tuul AI platform and its associated services, including but not limited to Gen, LiteGen, History, and any related or successor services.

LICENSE GRANT

Subject to full compliance with this Agreement and any applicable commercial or enterprise service agreement executed with Digitwhale, Digitwhale grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the compiled Software solely for internal business purposes or commercial applications that interact with the Tuul AI platform.

This license does not grant any rights to the Software’s source code, underlying models, algorithms, infrastructure, or intellectual property, except as explicitly stated in writing by Digitwhale.

OWNERSHIP AND INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Software, including all intellectual property rights, remain exclusively with Digitwhale. No ownership rights are transferred under this Agreement.

Any feedback, suggestions, or improvements provided by you may be used by Digitwhale without restriction or obligation.

STRICT PROHIBITIONS

You shall not, under any circumstances:

1. Copy or Reproduce
   Copy, reproduce, duplicate, or otherwise replicate the Software or any portion of it, except as strictly necessary for authorized use.

2. Modify or Create Derivative Works
   Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software or any part thereof.

3. Distribute or Sublicense
   Distribute, sublicense, sell, lease, assign, transfer, or otherwise make the Software available to any third party, including affiliates, without prior written authorization from Digitwhale.

4. Circumvent Safeguards
   Bypass, disable, interfere with, or attempt to circumvent any licensing mechanisms, usage controls, security features, rate limits, or intellectual property protections associated with the Software or Tuul AI services.

5. Competing or Benchmark Use
   Use the Software or Tuul AI services to develop, train, benchmark, or operate a competing product or service, except where expressly permitted by a written enterprise agreement.

COMPLIANCE AND TERMINATION

You agree to comply with all applicable laws, regulations, and contractual obligations related to your use of the Software.

Digitwhale may suspend or terminate this license immediately if you breach this Agreement or any related enterprise or commercial agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

NO WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITWHHALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE OR TUUL AI SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DIGITWHALE FOR THE SOFTWARE OR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GOVERNING AGREEMENT

If there is any conflict between this license and a separately executed enterprise or commercial agreement with Digitwhale, the terms of the enterprise or commercial agreement shall prevail.

ACCEPTANCE

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement.
