PROPRIETARY SDK LICENSE AGREEMENT
This Software Development Kit License Agreement (“Agreement”) is entered into between Mindfinness Enterprises Private Limited, a company incorporated under the laws of India (“Licensor”), and the entity or individual accessing or using the SDK (“Licensee”).

1. Ownership
The Software Development Kit (“SDK”) is the exclusive property of Mindfinness Enterprises Private Limited.
This Agreement does not transfer any ownership rights. The SDK is licensed, not sold.

2. Grant of License
Subject to the terms of this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the SDK solely for the purposes and functionalities explicitly agreed upon in writing between the parties.

3. Permitted Use
The Licensee may:
    • Use the SDK only to access the agreed and documented functionalities
    • Integrate the SDK solely within their internal systems or applications as approved by the Licensor
Any use beyond the agreed scope is strictly prohibited.

4. Restrictions
The Licensee shall not, directly or indirectly:
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying structure of the SDK
    • Modify, adapt, translate, or create derivative works from the SDK
    • Copy, distribute, sell, sublicense, rent, lease, or share the SDK with any third party
    • Use the SDK for benchmarking, competitive analysis, or to develop a competing product
    • Remove or alter any proprietary notices or identifiers

5. Confidentiality
The SDK, its design, architecture, and related documentation constitute confidential and proprietary information of the Licensor.
The Licensee agrees to protect such information with at least the same degree of care used to protect its own confidential information.

6. Term and Termination
This license is effective until terminated.
Licensor may terminate this Agreement immediately if the Licensee breaches any term.
Upon termination:
    • All use of the SDK must cease
    • All copies of the SDK must be destroyed or returned

7. No Warranty
The SDK is provided “AS IS”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability
In no event shall Mindfinness Enterprises Private Limited be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the SDK.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, and courts located in [Your City, India] shall have exclusive jurisdiction.

10. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the SDK and supersedes all prior understandings.
