EX_BACKGROUND_GEOLOCATION SOFTWARE LICENSE AGREEMENT

This agreement is between Exline Labs (Pvt) Ltd, company registration number
PV00243987 ("Exline Labs", "we"), and the person or organisation that
downloads, installs or uses the Software ("you"). By using the Software you
accept this agreement. If you do not accept it, do not use the Software.

1. DEFINITIONS

"Software" means the ex_background_geolocation package, including
its Dart source code, its compiled Android and iOS libraries, its documentation
and any updates we provide.

"App" means one mobile application, identified by one Android application ID
and one iOS bundle identifier. Each License Key licenses one App.

"License Key" means a key issued by Exline Labs that names the identifiers of
your App and the end of its Update Period.

"Update Period" means the period, stated in the License Key and on your
invoice, during which versions of the Software released by us are licensed to
you. Unless agreed otherwise in writing, it is 12 months from the date of
purchase.

2. EVALUATION

You may use the Software free of charge to develop and evaluate Apps in debug
builds (builds that are debuggable and are not distributed to end users). No
License Key is needed for this. Any other use requires a License Key.

3. LICENSE GRANT

Subject to payment of the applicable fee and to this agreement, Exline Labs
grants you a non-exclusive, worldwide, perpetual licence to:

  (a) integrate the Software into the number of Apps you have purchased, each
      with its own License Key; and

  (b) distribute the Software to end users, in compiled form only, as part of
      those Apps.

The licence covers every version of the Software released on or before the end
of your Update Period. It continues for those versions after the Update Period
ends.

4. UPDATES AND RENEWAL

Versions of the Software released after your Update Period ends are not
licensed to you and will not accept your License Key. You may extend the Update
Period by renewing at the price we publish at the time. Renewal is optional.

5. RESTRICTIONS

You must not:

  (a) use the Software in an App, or in a release build, without a License Key
      issued for that App;
  (b) share, publish or transfer a License Key, except to a buyer of the App it
      licenses, together with that App;
  (c) distribute the Software other than as part of a licensed App, including
      as, or as part of, a library, SDK, plugin, template or development tool
      for use by others;
  (d) remove, disable or circumvent the License Key check, or modify the
      compiled libraries;
  (e) decompile, disassemble or reverse engineer the compiled libraries, except
      to the extent that applicable law expressly permits this despite this
      restriction;
  (f) remove or alter any copyright or licence notice in the Software; or
  (g) use the Software to track any person without their knowledge and
      consent, or in any other way that breaks applicable law.

6. YOUR RESPONSIBILITIES

You are responsible for your Apps, including obtaining any consent your end
users must give for location tracking, publishing an accurate privacy policy,
complying with data protection law and complying with the Apple App Store and
Google Play policies on background location. The Software sends location data
only to the servers you configure. Exline Labs does not receive any data from
your Apps or your end users.

7. OWNERSHIP

The Software is licensed, not sold. Exline Labs and its licensors own all
rights in the Software. All rights not expressly granted in this agreement are
reserved.

8. SUPPORT

During your Update Period we provide support by email at
support@exlinelabs.com on a reasonable-efforts basis. No response times or
service levels apply unless agreed in writing.

9. THIRD-PARTY COMPONENTS

On Android the Software uses Google Play services and AndroidX libraries, which
are licensed to you separately under their own terms. Nothing in this
agreement changes those terms.

10. NO WARRANTY

The Software is provided "as is". To the fullest extent permitted by law, we
exclude all warranties and conditions, express or implied, including those of
satisfactory quality, fitness for a particular purpose and non-infringement.
Location accuracy, battery use and background behaviour depend on the device,
its operating system and its settings, which we do not control. The Software is
not designed or licensed for emergency, safety-critical or life-supporting use.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  (a) we are not liable for any loss of profits, revenue, data or goodwill, or
      for any indirect or consequential loss, however caused; and
  (b) our total liability arising out of or in connection with this agreement
      is limited to the fees you paid us for the Software in the 12 months
      before the claim arose.

Nothing in this agreement limits or excludes liability for death or personal
injury caused by negligence, for fraud or fraudulent misrepresentation, or for
any other liability that cannot be limited or excluded by law.

12. TERMINATION

If you materially breach this agreement and do not remedy the breach within 30
days of our written notice, we may terminate your licence. You must then stop
distributing the Software and new versions of Apps that contain it. Copies
already installed by your end users before termination may continue to be
used by them. Sections 5, 7 and 9 to 13 survive termination.

13. GENERAL

This agreement, together with your invoice, is the entire agreement between
you and Exline Labs about the Software. If any provision is found
unenforceable, the rest remains in effect. A failure to enforce a provision is
not a waiver of it. This agreement is governed by the laws of Sri Lanka, and
the courts of Sri Lanka have exclusive jurisdiction.
