SUREPASS DIGILOCKER FLUTTER SDK COMMERCIAL LICENSE AGREEMENT
IMPORTANT NOTICE
THIS SOFTWARE DEVELOPMENT KIT (THE “SDK”) IS PROPRIETARY AND NOT OPEN SOURCE.
BY INSTALLING, DOWNLOADING, ACCESSING, OR USING THE SDK, YOU (“LICENSEE”) AGREE
TO BE BOUND BY THIS COMMERCIAL LICENSE AGREEMENT (THE “AGREEMENT”). IF YOU DO
NOT AGREE, DO NOT INSTALL, DOWNLOAD, ACCESS, OR USE THE SDK.
1. DEFINITIONS
1.1 “Surepass” means Surepass.io and/or its affiliates, successors, and assigns.
1.2 “SDK” means the DigiLocker Flutter SDK package identified as
digilocker_flutter_sdk, including without limitation all source code, object
code, binaries, frameworks, libraries, documentation, interfaces, sample
code, assets, and any accompanying materials provided by Surepass.
1.3 “Authorized Use” means use of the SDK solely by (a) Licensee; and (b) only
for the internal development and operation of Licensee’s own application(s)
that integrate Surepass’s DigiLocker verification services, strictly in
accordance with written authorization from Surepass.
1.4 “Written Authorization” means explicit written approval from Surepass via
an authorized letter, executed agreement, or email confirmation issued by
Surepass to Licensee permitting use of the SDK.
2. LICENSE GRANT (COMMERCIAL; CONDITIONAL)
2.1 Subject to continuous compliance with this Agreement and subject to
Licensee maintaining valid Written Authorization, Surepass grants Licensee a
limited, non-exclusive, non-transferable, non-sublicensable, revocable
license to use the SDK solely for Authorized Use.
2.2 No rights are granted except as expressly set forth in Section 2.1.
3. RESTRICTIONS
3.1 Licensee MUST NOT, and MUST NOT permit any third party to:
(a) use the SDK without current Written Authorization from Surepass;
(b) copy, reproduce, distribute, publish, sell, rent, lease, lend, sublicense,
assign, transfer, or otherwise make the SDK available to any person or
entity;
(c) modify, adapt, translate, create derivative works from, or otherwise alter
the SDK in whole or in part;
(d) reverse engineer, decompile, disassemble, decode, or attempt to derive or
reconstruct source code, underlying ideas, algorithms, structure, or
organization of the SDK, except to the extent such restriction is
prohibited by applicable law;
(e) remove, obscure, or alter any proprietary notices, labels, or trademarks;
(f) use the SDK to build or assist in building any competing product or service
or to perform benchmarking in a way that discloses results to third parties
without Surepass’s prior written consent;
(g) circumvent or disable any security, access control, license enforcement,
or usage tracking mechanisms (if any) in the SDK.
3.2 The SDK (including its contents) is confidential and proprietary to
Surepass. Licensee must treat the SDK as Surepass Confidential Information.
4. OWNERSHIP
4.1 Surepass retains all right, title, and interest in and to the SDK and all
related intellectual property rights. Licensee obtains no ownership interest
under this Agreement.
5. CONFIDENTIALITY
5.1 Licensee must protect the SDK and any non-public information about the SDK
with at least the same degree of care it uses to protect its own confidential
information, and in no event less than reasonable care.
5.2 Licensee may disclose the SDK only to its employees and contractors who
(a) have a strict need to know for Authorized Use; and (b) are bound by
confidentiality obligations no less restrictive than those contained herein.
6. SUPPORT; UPDATES
6.1 Any support, updates, upgrades, fixes, or enhancements are provided solely
at Surepass’s discretion and may be subject to additional terms.
7. TERM; TERMINATION
7.1 This Agreement is effective upon first installation, download, access, or
use of the SDK and continues until terminated.
7.2 Surepass may terminate this Agreement immediately upon notice if Licensee
breaches this Agreement or if Licensee’s Written Authorization expires or is
revoked.
7.3 Upon termination, Licensee must immediately cease all use of the SDK and
destroy all copies of the SDK in its possession or control.
8. DISCLAIMER OF WARRANTIES
8.1 THE SDK IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT
PERMITTED BY LAW, SUREPASS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
NON-INFRINGEMENT.
9. LIMITATION OF LIABILITY
9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUREPASS BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR
PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS,
ARISING OUT OF OR RELATED TO THE SDK OR THIS AGREEMENT.
9.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUREPASS’S TOTAL LIABILITY ARISING
OUT OF OR RELATED TO THE SDK OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS
PAID BY LICENSEE TO SUREPASS SPECIFICALLY FOR THE SDK (IF ANY) IN THE
TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. COMPLIANCE
10.1 Licensee is responsible for ensuring its use of the SDK complies with all
applicable laws and regulations.
11. GOVERNING LAW
11.1 This Agreement will be governed by the laws applicable in Surepass’s
principal place of business, without regard to conflict of law principles.
